What's Included in Annual Maintenance
Annual Maintenance covers all filings needed to keep your LLC in good standing (meaning the IRS and your state have no problems with your LLC). All filings are submitted on your behalf by the relevant deadlines. You do not need to track dates or submit anything yourself:
- Form 5472 + Pro Forma 1120 Preparation: We prepare the required IRS forms for all foreign-owned single-member US LLCs. We include the Pro Forma Form 1120 (a cover form).
- State Annual Report: We prepare and file the state's annual report (where required in Wyoming, Delaware, and Florida). New Mexico LLCs do not need this, so you do not pay for it.
- Registered Agent Renewal: We renew your registered agent service for the year. Your LLC maintains its compliant status and a designated legal correspondence address in the state of formation.

Why Annual Maintenance Matters
Every US LLC faces multiple annual deadlines. Most non-resident owners do not know this until they miss one. Here are the three main requirements:
Federal Filing: Form 5472
Every foreign-owned single-member US LLC must file Form 5472 (plus Pro Forma Form 1120) with the IRS each year, even if the LLC had no activity. Formation costs and any transfer of money between you and your LLC are reportable transactions.
Penalty for missing: $25,000 per return
State Annual Report & Compliance
Most states require an annual report. Wyoming, Delaware, and Florida all require one. New Mexico does not. If you do not file, the state can dissolve your LLC (shut it down). This voids your liability protection (meaning you become personally responsible for LLC debts).
Some states charge a franchise tax. This is a yearly fee for keeping an LLC in that state. It is separate from income tax. Delaware charges $300 per year. Annual Maintenance covers the state annual report where the state requires it.

Every US LLC must have a registered agent: a person or company that receives official mail and legal notices for the LLC. The registered agent must be renewed each year, or your LLC loses its good standing with the state.

- Sign Up & Complete Intake: After payment, you receive a short secure intake form requesting your LLC name, EIN, state of formation, and owner details. Most clients complete the intake in under 15 minutes.
- We Handle All Filings: We prepare your Form 5472, Pro Forma 1120, and any required state documents. We check each filing for accuracy. You do not need to track any deadlines.
- We Manage Renewals. We renew your registered agent. We file the state annual report. If you have questions during the year, we help you.
- Annual Confirmation: Once all filings for the year are complete, you receive a confirmation summary. Your LLC is in good standing for another year. We contact you ahead of the next cycle before any new deadline.

What happens if I do not maintain my LLC?

Can I switch registered agents to US LLC Filings?
Yes. When you enrol in Annual Maintenance, we become your registered agent for the year as part of the plan. If you currently use a different registered agent, the switch is handled during the enrolment process. Which state should I select?
Select the state where your LLC was originally registered. This is called your formation state, or home state. You can find it on:
- Your Articles of Organization (also called Certificate of Organization or Certificate of Formation, depending on the state)
- The confirmation email from your formation agent (such as Northwest Registered Agent, IncFile, or the agent you used)
- The Secretary of State website for your state. Search your LLC name to confirm where it is registered

What is a registered agent, and why does my LLC need one?
A registered agent is a person or company designated to receive official correspondence on behalf of your LLC, including IRS notices, state filings, legal documents, and service of process. Most US states require every active LLC to maintain a registered agent with a physical address in the state of formation. If your registered agent lapses, your LLC may lose its good standing status with the state. Annual Maintenance includes registered agent renewal where applicable, so this obligation is covered within the plan.
